These terms of sale define how CyberSEN provides its services and the rights and obligations of the parties. Any order, accepted quote or use of the services implies full acceptance of these terms, which complement the terms of use.
1. Purpose
These terms define how the services offered by CyberSEN are provided, including cybersecurity solutions and support, awareness, audit and assistance services. Any subscription implies full acceptance of these terms and of the website's terms of use.
2. Description of the services
CyberSEN services are provided as a monthly or yearly subscription per user. They include:
- access to cybersecurity solutions provided by partner publishers;
- support, awareness and follow-up services;
- audit and reporting services depending on the pack chosen.
The detail of the services is set out in the quote or the contract.
3. Order and activation
An order is firm and final once the quote has been accepted in writing, these terms accepted and the first payment received. The services are activated once these steps are complete.
4. Prices and payment
Prices are expressed per user and per period (monthly or yearly), in dalasi (GMD), taxes included as stated in the quote. Prices shown on the website are indicative; the quote is binding. No online payment is offered: payment is made against invoice, once the quote has been accepted. Payments are made in advance, according to the chosen frequency. Any committed subscription is due for the whole contractual period, as licences are provisioned with third-party publishers. A multi-year commitment may provide for a yearly price review, as specified in the quote.
5. Licences and third-party services
The cybersecurity solutions provided rely on partner publishers. Their use is subject to the publisher's conditions; CyberSEN acts as integrator and reseller. CyberSEN cannot be held liable for failures attributable to third-party services.
6. Client obligations
The client undertakes to provide the necessary technical access (DNS, email, systems…), to cooperate actively in setting up the service and to follow the security recommendations provided. Any delay or blockage attributable to the client cannot engage CyberSEN's liability.
7. Obligation of means
CyberSEN's cybersecurity services are an obligation of means. CyberSEN takes all necessary measures to protect environments, raise user awareness and reduce risks, without guaranteeing the complete absence of security incidents.
8. Term and renewal
Subscriptions are concluded for the term stated in the quote. They renew automatically for an equivalent term, unless terminated in writing at least 30 days before the renewal date.
9. Suspension of services
In the event of non-payment or breach of contractual obligations, CyberSEN may, after prior notice, suspend all or part of the services. Suspension does not release the client from its payment obligations.
10. Late payment penalties
Any payment more than 30 days overdue automatically incurs, without prior reminder, late payment penalties of 10% of the amount due.
11. Debt recovery
In the event of persistent non-payment despite reminders, CyberSEN may suspend the services and refer the matter to a debt collection agency or a legal adviser. All outstanding amounts then become immediately payable, and additional costs may apply (collection costs, legal fees, additional penalties).
12. Services and scheduling
Audit, awareness, simulation and reporting services are delivered according to the pack subscribed and to a schedule agreed with the client. Any postponement attributable to the client may delay the services without compensation.
13. Liability
CyberSEN cannot be held liable for incidents resulting from misuse of the services, failure to follow security recommendations, or failures of third-party services (publishers, hosting providers…). CyberSEN's liability is limited to the amounts received under the current contract.
14. Data and confidentiality
CyberSEN undertakes to keep the data it processes confidential and to implement appropriate security measures. The client remains responsible for the compliance of its own processing.
15. Governing law
These terms are governed by the laws of Gambia. In the event of a dispute, an amicable settlement is sought before any legal action.
